01. The BirdieGlobal Marketplace Platform
BirdieGlobal is an innovative technology communications platform connecting individuals seeking transportation ("Riders") with independent, vetted motor vehicle operators ("Drivers").
Independent Contractor Relationship: BirdieGlobal is not a transportation carrier, motor carrier, taxicab service, or employer of Drivers. Drivers are independent third-party contractors who determine their own schedules, select which trip requests to bid on, and utilize their own personal registered vehicles. Drivers are not employees, agents, or joint venturers of BirdieGlobal.
02. Reverse-Auction Bidding & Zero Surge Pricing
Unlike legacy ride-hailing networks that dictate prices via proprietary algorithmic surge multipliers, BirdieGlobal operates on an open reverse-auction marketplace model:
Riders define their pickup point, destination, and propose their target fare. Nearby vetted drivers receive the trip request simultaneously with transparent trip details.
Drivers submit competitive bids within an automated bidding window. Drivers may accept the rider's proposed fare or counter-offer with an alternate price reflecting their current proximity and time.
Our transparent resolver algorithm evaluates bids based on fare value, driver rating, vehicle classification, and estimated arrival time to confirm the optimal match.
BirdieGlobal permanently rejects artificial surge multipliers. All fares represent true peer-to-peer agreements between rider and driver, free from artificial markups.
03. Platform Commissions & Driver Earnings
Driver-Only Commission: BirdieGlobal charges an honest, transparent platform service commission deducted exclusively from the driver's earnings upon trip completion.
No Hidden Rider Fees: Riders pay exactly the agreed trip fare without hidden booking surcharges, processing markups, or undisclosed operational fees.
Ledger & Payouts: Driver earnings are recorded in immutable ledger accounts as exact integer cents. Payouts are transferred automatically via Stripe Connect direct deposit according to standard banking settlement schedules.
04. Safety, PIN Verification, & Vehicle Standards
Mandatory 4-Digit Pickup PIN: For the physical security of all participants, every matched trip issues a cryptographic 4-digit verification PIN to the rider. The driver is strictly prohibited from commencing the ride until the rider provides this PIN and the driver enters it into the mobile application to verify match identity. Attempt limits prevent brute-force attacks.
Driver Qualifications: Drivers must be at least 21 years of age, hold an active, valid United States driver's license in good standing, pass comprehensive background checks, and maintain valid personal automobile liability insurance satisfying all statutory limits.
Vehicle Eligibility: All vehicles must be registered passenger vehicles (maximum 10–15 years old per municipal regulations), maintain clean inspection records, and possess functional safety belts for all seating positions.
05. Cancellations, No-Shows, & Cancellation Fees
- Grace Period: Riders may cancel a requested trip without fee within two (2) minutes of match confirmation.
- Driver En Route: If a rider cancels after the 2-minute grace period and the driver has traveled substantially toward the pickup location, a standard cancellation fee is charged to compensate the driver for fuel and time.
- Rider No-Show: If a driver arrives at the designated pickup location and waits for greater than five (5) minutes without rider contact, the driver may cancel the trip as a no-show, triggering a standard cancellation fee.
- Driver Cancellations: Frequent, unjustified driver cancellations after accepting bids may result in driver rating penalties, reduced dispatch priority, or account deactivation.
06. Prohibited Conduct & Zero-Tolerance Policy
BirdieGlobal strictly enforces immediate, permanent suspension for any user (rider or driver) engaging in:
- Operating a vehicle under the influence of alcohol, drugs, or impairing substances.
- Physical violence, sexual misconduct, verbal harassment, or unlawful discrimination.
- Fraudulent activity including spoofing GPS coordinates, collusion, or multiple account generation.
- Arranging off-platform cash transactions for trips matched via the platform to evade safety features.
- Carrying unauthorized firearms or hazardous materials in violation of local laws.
07. Disclaimers, Limitation of Liability, & Arbitration

The platform is provided "as is" and "as available". To the maximum extent permitted under applicable law, BirdieGlobal disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
In no event shall BirdieGlobal be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or in connection with the services or transportation arranged through the marketplace.
Binding Individual Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the platform shall be settled by binding arbitration administered under the rules of the American Arbitration Association (AAA) in [Jurisdiction / Virginia], rather than in court. You and BirdieGlobal waive any right to bring or participate in a class or representative action.
